Associate General Counsel

The Associate General Counsel, Corporate (“AGC, Corporate”) will report to the Chief Legal Officer and Corporate Secretary and will be responsible for providing legal advice and support on a wide range of issues affecting internal clients, including Conformis’ Legal, Finance, Professional Affairs, Sales, Marketing, Operations, Regulatory, Clinical, and Human Resources departments. The AGC, Corporate will have primary responsibility for the contracting process, including improving and managing internal contracting processes as well as negotiating and drafting a wide variety of legal agreements. The AGC, Corporate will also provide assistance and oversight to ensure Conformis’ compliance with applicable laws and policies. Essential Duties and Responsibilities Develop and maintain strong internal working relationships across Conformis. Understand and support the Legal department’s objectives and responsibilities. ·      Prioritize and plan work activities, adapting for quickly changing conditions and competing priorities. Provide expert advice on commercial, regulatory, and general corporate legal issues. Develop and improve standard agreements, processes, policies, training, and strategies. Draft and negotiate corporate contracts (e.g., distributor and sales representative agreements, supplier agreements, consulting agreements, clinical study agreements, hospital and GPO sale agreements, and employment-related agreements). ·      Improve Conformis’ healthcare compliance program, including developing and updating policies and providing training and oversight. ·      Assist with internal compliance and human resources investigations. ·      Manage outside counsel, as necessary. Other responsibilities, as assigned. Qualifications Juris doctor degree from a university accredited by the American Bar Association. Active license to practice law in Massachusetts, or active license in another state and qualified to register and practice as in-house counsel in Massachusetts. Must be attorney in good standing. Between approximately five and eight years of experience practicing law in the area of general or commercial contracting or equivalent experience. Some litigation and employment law background desired. Strong preference for experience in the healthcare industry and, specifically, in medical device. Skills, Abilities, Competencies Required Collegial with a good sense of humor. Self-motivated, committed, and driven to complete tasks on time. Eager to learn and to take on new projects and responsibilities. Strong attention to detail, ensuring quality, accuracy, and thoroughness. Strong organizational, analytical, and time-management skills. Excellent written and verbal communication skills with the ability to simply explain complex legal issues. Must be able to work independently, with minimal supervision, and as part of a team. Must be able to work collaboratively with lawyers and non-lawyers alike. Must be able to provide excellent and timely work product in the face of shifting priorities in a demanding environment.
